Newmark Raises $900M Senior Unsecured Credit Facility, Extends Maturity to 2030

Newmark Group, Inc. (Nasdaq: NMRK) announced April 21, 2026, that it has amended its senior unsecured revolving credit facility, upsizing the facility by 50% to $900 million and extending its maturity date to April 17, 2030. The new agreement amends the terms of Newmark's previous $600 million revolving credit facility, which had been set to mature on April 26, 2027.

The financing was finalized on April 17, 2026, and gives Newmark the right to expand the facility further — up to $1.1 billion — subject to certain conditions. The company said it expects to use the credit facility for general corporate purposes.

Financing Terms and Interest Rate Structure

Borrowings under the amended credit facility will bear interest at Newmark's option, based either on Term SOFR or a base rate. The applicable margin is initially set at 1.625% per annum for Term SOFR borrowings and 0.625% for base rate borrowings, with both margins subject to adjustment depending on the company's credit rating.

As of market close on April 17, 2026, the interest rate on any borrowing under the Term SOFR option would have been approximately 5.27%, according to Bloomberg data for the 30-Day Average SOFR Secured Overnight Financing Rate. The facility carries a 48-month term running through April 2030.

The new agreement amends the terms of Newmark's prior $600 million facility, effectively adding $300 million in available liquidity while pushing the maturity horizon out by nearly three years from the previous April 2027 expiration.

BofA Securities Leads Broad Bank Syndicate

BofA Securities, Inc. acted as the active lead arranger and bookrunner for the credit facility. Bank of America, N.A. will continue to serve as administrative agent.

Other banks participating in the credit facility include Capital One, National Association; Citizens Bank, N.A.; KeyBank; Lloyds Bank PLC; National Westminster Bank PLC; PNC Bank, National Association; Regions Bank; Royal Bank of Canada; U.S. Bank National Association; and Wells Fargo — each serving as co-syndication agents.

Industrial and Commercial Bank of China Limited, New York Branch; BMO Bank N.A.; and Huntington National Bank each serve as co-documentation agents. Comerica Bank, a division of Fifth Third Bank, National Association, and Associated Bank, N.A. also participate in the facility.
