Sveafastigheter Advances KlaraBo Merger as Nacka Residential Sale Delivers 24% Project Margin

Sveafastigheter reported higher rental income and operating profit for the first half of 2026 as the Swedish residential landlord advanced its planned merger with KlaraBo and completed the sale of a residential development project in Nacka, according to the company's interim report published July 16, 2026.

H1 2026 Financial Results

For the six months ended June 30, 2026, Sveafastigheter reported rental income of SEK 806 million, a 6.2 percent increase from SEK 759 million in the same period a year earlier. On a comparable portfolio basis, rental income rose 4.7 percent. Net operating income increased 6.3 percent to SEK 466 million from SEK 438 million, with comparable portfolio net operating income up 3.5 percent.

Profit from property management for the first half totaled SEK 172 million, or SEK 0.87 per share, compared with SEK 157 million, or SEK 0.79 per share, in H1 2025. Property value changes swung to a positive SEK 181 million in H1 2026 from negative SEK 209 million in the prior-year period. Profit for the period amounted to SEK 251 million, or SEK 1.26 per share, compared with a loss of SEK 117 million, or SEK -0.58 per share, in H1 2025.

For the second quarter alone, rental income rose 6.5 percent to SEK 408 million from SEK 383 million. Net operating income increased 7.1 percent to SEK 264 million from SEK 246 million. Profit from property management was SEK 110 million, or SEK 0.56 per share, up from SEK 97 million, or SEK 0.49 per share, in Q2 2025. The net loss for the quarter was SEK 26 million, compared with a loss of SEK 155 million a year earlier, with property value changes of SEK 33 million versus negative SEK 137 million in Q2 2025.

Nacka Solhusen Disposal and Development Recycling

During the second quarter, Sveafastigheter divested the Solhusen residential development project in Nacka. The project comprises 147 rental apartments, including 30 senior apartments. The agreed property value was SEK 438 million before deduction of deferred tax, which the company said was in line with the latest external valuation. Total investment in the project amounted to SEK 354 million, corresponding to a project margin of 24 percent.

After the quarter ended, Sveafastigheter signed agreements to sell two additional development projects: Gamla Landsvägen in Nacka and Hedvig in Spånga. Together, the projects comprise 214 apartments. The total agreed property value is SEK 727 million before deferred tax, with total investment estimated at SEK 570 million, implying a project margin of 28 percent. Handover of the Gamla Landsvägen project is expected in the third quarter of 2027, and Hedvig in the fourth quarter of 2028.

Also during the quarter, construction commenced on 127 apartments in the Hedvig residential development project at Spånga station. The project is being developed to achieve Miljöbyggnad Silver certification.

KlaraBo Merger: Structure and Timeline

The quarter was defined by the initiation of a merger between Sveafastigheter and KlaraBo, under which Sveafastigheter will absorb KlaraBo. The merger plan was adopted by the boards of directors of both companies in May 2026 and approved by the extraordinary general meetings of both companies on June 26, 2026. At Sveafastigheter's extraordinary general meeting, a new board of directors was elected, conditional upon the Swedish Companies Registration Office's final registration of the merger, which is expected to take place in September 2026.

The company said the transaction is expected to create a larger residential real estate company with a higher share of cash flow-generating assets, significant operational and financial synergies, and a strengthened financial profile. Sveafastigheter said the merger is expected to provide improved conditions for increased income from property management per share, enhanced dividend capacity, and long-term shareholder value.

Credit Rating

In connection with the KlaraBo merger, Fitch Ratings placed Sveafastigheter on Rating Watch Positive. The rating agency said an upgrade to 'BBB' may be considered following completion of the merger and a further extension of the company's average debt maturity to four years.
