Blue Owl Acquires 34 Trustmark Corporation Bank Branches in $91.7M Sale-Leaseback

Funds managed by Blue Owl Capital have completed a $91.7 million sale-leaseback transaction with Trustmark Corporation, acquiring a portfolio of 34 bank branch properties spread across Mississippi, Florida, Tennessee, Alabama, and Texas, the companies announced Sept. 17.

Concurrent with the acquisition, Trustmark entered into long-term, triple-net leases for all 34 properties. Each lease carries an initial term of 15 years, with three consecutive five-year renewal options — a structure that could extend Trustmark's occupancy across the portfolio to 30 years. The transaction adds a diversified collection of single-tenant net lease assets to Blue Owl's Real Assets platform.

Deal Economics and Lease Structure

The portfolio generates aggregate initial annual rent of $6.4 million, with 1.5% annual rent escalations built into both the initial term and the renewal periods. At the $91.7 million purchase price, the portfolio implies a going-in cap rate of approximately 7.0%. Under the triple-net structure, Trustmark retains responsibility for taxes, insurance, and maintenance at each location.

Trustmark is expected to recognize a pre-tax gain of approximately $61.5 million on the transaction before expenses. The bank has indicated it intends to match that gain against a concurrent securities portfolio restructuring, deploying the freed capital into higher-yielding assets — a move the company says will strengthen its net interest margin and overall balance sheet positioning.

Trustmark carries an investment-grade credit rating of BBB+ from S&P. All 34 branches remain open and operational; the company has stated no branch closures or market exits are associated with the transaction.

Strategic Rationale for Trustmark

Trustmark's decision to monetize owned real estate reflects a broader capital efficiency strategy. The bank reported net interest income of $168.6 million on a fully tax-equivalent basis in the second quarter of 2026, with a net interest margin of 3.84% — up three basis points from the prior quarter. By converting owned branch properties into liquid capital, Trustmark can redeploy those funds into earning assets at current market rates rather than holding them as non-earning fixed assets on the balance sheet.

Blue Owl Expands Net Lease Bank Branch Portfolio

For Blue Owl, the transaction extends a track record of bank branch sale-leaseback activity with investment-grade counterparties. The acquisition adds contractual, long-duration rental income backed by an established regional financial institution to the firm's Real Assets platform.
