Howard Hughes Prices $1 Billion Senior Notes Offering for Debt Refinancing

Howard Hughes Holdings Inc. (NYSE: HHH) announced the pricing of $1 billion in senior notes through its wholly owned subsidiary, The Howard Hughes Corporation, marking a refinancing move for the company headquartered in The Woodlands, Texas.

The offering consists of two tranches of unsecured senior obligations: $500 million in notes due 2032 and $500 million in notes due 2034, both priced at par. The 2032 notes will carry an interest rate of 5.875% per annum, while the 2034 notes will pay 6.125% per annum. Interest on both series will be paid semi-annually on March 1 and September 1 of each year, beginning September 1, 2026.

Use of Proceeds

The Howard Hughes Corporation intends to use the net proceeds from the offering to redeem all of its outstanding 5.375% Senior Notes due 2028, including payment of premiums, accrued and unpaid interest, and expenses related to the redemption. Remaining proceeds will be allocated for general corporate purposes. The offering is expected to close on February 17, 2026, subject to customary closing conditions.

Offering Structure

The notes are being offered through a private placement to qualified institutional buyers in reliance on the exemption from registration provided by Rule 144A under the Securities Act of 1933, or outside the United States to persons other than U.S. persons in reliance on Regulation S. The notes have not been registered under the Securities Act or the securities laws of any other jurisdiction.
