ATLANTA – The Meritex Company, a privately held industrial real estate investment and management firm, announced Oct. 15 the recapitalization of select assets in partnership with funds managed by Vintage Strategies at Goldman Sachs Alternatives. A newly formed continuation vehicle acquired exposure to an 18-building infill industrial portfolio totaling 1,222,596 square feet in Atlanta.

Under the terms of the transaction, Meritex will remain the controlling partner and will serve as the operating member and day-to-day manager of the portfolio.

Portfolio Details

The portfolio consists of multi-tenant, shallow- and mid-bay industrial properties in Atlanta's Northeast, North Central/Georgia-400 and Northwest submarkets. The buildings are located in Kennesaw, Smyrna, Norcross, Lawrenceville and Alpharetta. Across the 18 buildings, the average size is approximately 67,900 square feet.

Meritex said the properties serve a diverse tenant base across a range of industries, including distribution and light manufacturing users. The firm cited limited availability of developable land and sustained demand for distribution and light manufacturing space as factors supporting long-term occupancy stability and continued operating performance. The portfolio has access to major transportation corridors and a deep regional labor pool, according to the announcement.

Meritex Retains Control

Mark Spotts, Chief Financial Officer at Meritex, said the transaction reflects the quality of the portfolio and the strength of the firm's operating platform.

"We are pleased to expand our relationship with Goldman Sachs Alternatives while maintaining majority ownership and operating control of assets we have invested in over many years," Spotts said. "The venture positions us to continue creating value through active asset management, leasing execution, and disciplined capital deployment."

Tom Hotovec, Chief Executive Officer at Meritex, pointed to Atlanta's role as a logistics hub for the Southeast. "Demand continues to be supported by population growth, business formation, transportation connectivity, and the region's role as a key logistics hub for the Southeast," Hotovec said. He added that the portfolio is concentrated in highly constrained infill locations where replacement opportunities are limited. "This partnership allows us to continue executing our long-term investment strategy while preserving the operational discipline and local market focus that have been central to our success," he said.

Capital Partnership Strategy

The joint venture further diversifies Meritex's capital relationships and enhances the firm's ability to pursue acquisitions, development opportunities and portfolio growth initiatives across its target markets, according to the announcement. The venture combines Goldman Sachs Alternatives' institutional investment capabilities with Meritex's vertically integrated operating platform and local market expertise. Meritex described the transaction as another step in its strategy of pairing institutional capital with industrial real estate investment across its targeted U.S. markets.

For Goldman Sachs Alternatives, the vehicle provides exposure to smaller-format, infill industrial properties while the existing local operator continues to manage the assets.

Atlanta Industrial Market Context

The recapitalization comes as Atlanta's industrial market adjusts after a substantial construction cycle. JLL reported total vacancy of 9% in the second quarter of 2026, with availability at 12% as leasing absorbed space faster than new supply replaced it. Average asking rent reached $7.43 per square foot. Savills reported a vacancy rate of 10.0% in the third quarter, down 60 basis points year over year, with average asking rent rising to a record $7.42 per square foot, up 4.9% from a year earlier.

Supply remains a factor. JLL said 32.7% of Atlanta industrial space under construction was preleased, leaving a meaningful amount of speculative space to be absorbed as new deliveries arrive. A portfolio concentrated in existing buildings in established corridors may present a different profile from newly built speculative warehouses.

Outlook

With Meritex retaining control and day-to-day management, the venture is structured to continue leasing and asset-management activity across the 18 buildings while adding an institutional capital partner. Meritex said the arrangement supports its ability to pursue further acquisitions and development in its target markets.
