TRF Loan Acquisition, LP Wins Fannie Mae's $252.4 Million Non-Performing Loan Sale
Fannie Mae announced Nov. 4 that TRF Loan Acquisition, LP was the winning bidder in its twenty-ninth non-performing loan sale transaction, a pool of 1,179 loans with an aggregate unpaid principal balance (UPB) of $252,413,010. The sale, first announced Oct. 8, 2026, was marketed in collaboration with BofA Securities, Inc. and is expected to close by Dec. 15, 2026.
TRF Loan Acquisition, LP Pool Details
The pool awarded to TRF Loan Acquisition, LP consists of residential mortgage loans rather than identified commercial properties. The portfolio carries an average loan size of $214,091 and a weighted average note rate of 4.56%. The weighted average broker's price opinion (BPO) loan-to-value ratio is 50%.
The cover bid, which is the second-highest bid for the pool, was 97.084% of UPB, or 48.44% of BPO. That percentage equates to roughly $245.1 million for the portfolio and an implied average of about $207,900 per loan. BPO values are estimates rather than executed sale prices.
Fannie Mae's Loss Mitigation and Foreclosure Requirements
Fannie Mae said all purchasers must honor any approved or in-process loss mitigation efforts at the time of sale, including loan modifications. Purchasers also must offer delinquent borrowers a waterfall of loss mitigation options, which may include principal forgiveness, before initiating foreclosure on any loan not secured by property that is vacant or condemned at closing.
If a foreclosure cannot be prevented, the owner of the loan must market the property to owner-occupants and non-profits first, similar to Fannie Mae's FirstLook program. These conditions can affect the timing, operating cost and ultimate recovery value of the loans.
Context: Fannie Mae's Distressed-Loan Disposition Program
The transaction is the latest in Fannie Mae's series of non-performing loan sales, indicating that distressed-loan disposition remains an established portfolio-management channel for the company. The sale comes as Fannie Mae reported third-quarter 2026 net income of $4.2 billion, up from $4.0 billion in the second quarter and $3.9 billion a year earlier, on net revenue of $7.7 billion. Its net worth rose to $119.6 billion as of Sept. 30, 2026.
Credit performance remains a relevant measure for mortgage investors. Government-backed mortgage data showed FHA serious delinquencies at 6.09% in the second quarter of 2026, while VA serious delinquencies were 2.62%. Fannie Mae and Freddie Mac rates were unchanged quarter over quarter in that data set.
Relevance for Commercial Real Estate and Distressed-Debt Investors
Although the underlying collateral is residential, the sale offers a data point on how institutional investors price seasoned, non-performing credit with a reported 50% weighted average BPO loan-to-value ratio. The near-par cover bid indicates that bidders placed significant value on the pool despite its non-performing status.
The mandated modification and foreclosure waterfall also underscores the role of special servicing, property preservation, borrower outreach and disposition expertise. Institutional buyers can acquire large loan pools without purchasing properties individually, then pursue modifications, repayment resolutions, short sales or real estate owned (REO) strategies. Any eventual foreclosure or REO disposition could affect local rental supply and neighborhood pricing.
