Värde Partners Closes $1 Billion CRE CLO Backed by Multifamily and Industrial Real Estate Loans

NEW YORK and MINNEAPOLISVarde Partners has closed VMC 2026-FL6, a $1 billion managed commercial real estate collateralized loan obligation (CRE CLO), the firm announced May 19. The transaction is the largest CRE CLO in Värde's history and its 13th CRE securitization overall, with multifamily and industrial properties together comprising more than two-thirds of the initial collateral pool.

The underlying loans were all originated through Värde's CRE lending platform. The initial pool consists of 19 floating-rate mortgages secured by 40 commercial properties spanning 16 U.S. states, reflecting what the firm described as a diversified mix of property markets and asset types.

Deal Structure and Commercial Real Estate Financing Terms

VMC 2026-FL6 carries an implied advance rate of 88.625%, with BBB- credit enhancement of 11.375%. The transaction priced at a weighted average spread of Term SOFR plus 1.91% before transaction costs and is structured with a 30-month reinvestment period.

Wells Fargo served as sole structuring agent and lead-left joint bookrunner. Goldman Sachs, Morgan Stanley Real Estate Investing, and ATLAS SP Securities served as joint bookrunners. Cadwalader, Wickersham & Taft LLP acted as legal advisor.

Multifamily and Industrial Properties Drive Portfolio Concentration

Multifamily and industrial properties account for more than 66% of the initial portfolio. The geographic spread across 16 states reflects the origination reach of Värde's CRE lending platform.

The deal's collateral consists entirely of floating-rate mortgages. No individual property-level addresses or square footage data were disclosed in the firm's announcement; such details typically appear only in offering documents not publicly available at the time of closing.

Värde's Background in Real Estate Credit

Värde Partners was founded in 1993 and has over 30 years of experience investing in real estate credit and assets, according to the firm. Since 2017, Värde has originated $8.5 billion in U.S. CRE loans. The firm reports a clean securitization track record, with nine CRE CLOs having been successfully paid off in full prior to this transaction.
