(NYSE: OWL) completed the acquisition of Sila Realty Trust, Inc. on July 1, 2026, paying $30.38 per share in cash for the Tampa, Florida-based healthcare net lease real estate investment trust. The transaction transfers a portfolio of 137 properties spanning 65 U.S. markets to Blue Owl's Real Assets platform and ends Sila's life as a publicly traded company.

Deal Terms and Shareholder Vote

The $30.38 per share price represents an approximately 19% premium over Sila's closing share price on April 17, 2026, the last full trading day before the transaction was announced. At a special meeting of stockholders held on June 26, 2026, more than 98% of votes cast were in favor of approving the merger agreement. Upon closing, Sila's common stock ceased trading and was delisted from the New York Stock Exchange.

Sila Realty Trust, headquartered in Tampa, Florida, operated as a net lease REIT with a focus on healthcare facilities along the continuum of care. As of March 31, 2026, the company owned 137 real estate properties and three undeveloped land parcels located across 65 markets in the United States. The portfolio is characterized by long-term leases with healthcare tenants and geographically diverse facilities.

The transaction is a corporate-level acquisition of all Sila shares rather than a single-asset sale. Sila's business model centered on generating predictable income streams from high-quality healthcare tenants, a profile that aligns with Blue Owl's stated focus on essential real estate sectors and stable cash flows.

Blue Owl Capital reported $315 billion in assets under management as of March 31, 2026, and invests across three platforms: Credit, Real Assets, and GP Strategic Capital. The firm described the Sila acquisition as an expansion of its core net lease strategy and said the portfolio will benefit from Blue Owl's institutional scale and relationships across the real estate market.
