VICI Properties Completes CAD$200.6M Sale-Leaseback of Alberta Casino Portfolio Tied to Gamehost Inc. Take-Private by Pure Casino Entertainment
NEW YORK — VICI Properties Inc. (NYSE: VICI) announced June 24, 2026, the completion of a sale-leaseback transaction valued at CAD$200.6 million (USD$144.4 million), acquiring the real estate assets of a four-property casino and hotel portfolio in Alberta, Canada, in connection with Pure Casino Entertainment Limited Partnership's take-private acquisition of Gamehost Inc. (GH.TO).
The portfolio — comprising the Deerfoot Inn & Casino in Calgary, the Great Northern Casino in Grande Prairie, and two limited-service hotels adjacent to the Great Northern Casino — was added simultaneously to the existing triple-net master lease agreement between VICI Properties and Pure Casino Entertainment Limited Partnership upon closing.
Deal Terms and Lease Economics
VICI Properties funded the acquisition through a Canadian dollar-denominated draw on its multicurrency revolving credit facility. The transaction added CAD$16.1 million (USD$11.6 million) in incremental annual rent to the PURE master lease.
Under the amended lease structure, portfolio rent will escalate at 1.0% on February 1, 2028, after which escalations will conform to the broader PURE master lease terms — the greater of 1.5% or the change in Canadian CPI, capped at 2.5%. The transaction also extended the PURE master lease to a full 25-year initial base term, with four 5-year tenant renewal options remaining available. Tenant obligations under the PURE master lease continue to be guaranteed by Indigenous Gaming Partners, Inc.
Portfolio Properties: Calgary and Grande Prairie
The Deerfoot Inn & Casino is located in Calgary, Alberta, and operates as a combined hotel and casino property. The Great Northern Casino is located in Grande Prairie, Alberta, and operates as a regional casino and entertainment venue. The two limited-service hotels included in the portfolio are located adjacent to the Great Northern Casino in Grande Prairie. VICI Properties' announcement did not identify the hotels by name or provide further property-level details for any of the four assets.
Strategic Context: PURE's Acquisition of Gamehost Inc.
The real estate transaction was structured in connection with Pure Casino Entertainment Limited Partnership's take-private acquisition of Gamehost Inc., a gaming company previously listed on the Toronto Stock Exchange under the ticker GH.TO. The sale-leaseback provided PURE with CAD$200.6 million in real estate proceeds, a structure that allows an operator to monetize owned real estate while retaining operational control of the properties under a long-term lease.
The Alberta transaction represents a continuation of VICI Properties' presence in Canada and its strategy of partnering with gaming operators in connection with corporate transactions to acquire triple-net-leased real estate.
