Branicks Group AG Creditors Back €595 Million Debt Extension in 99% Vote
Branicks Group AG creditors have approved a restructuring of the company's debt, with 99% of votes cast in favor, the Frankfurt-based commercial real estate company announced Oct. 20, 2026. The plan extends maturities on a total of €595 million of liabilities, backing the restructuring concept the company developed to address its financial position.
Branicks Group AG Debt Restructuring: Terms of the Extension
The vote was held among holders of the company's corporate bond, which was originally due in 2026 and carried a principal amount of €400 million. The restructuring covers the company's liabilities arising from the bond, promissory-note loans (Schuldscheindarlehen) and registered notes.
Under the plan, €375 million of the liabilities will receive a new maturity date of Sept. 30, 2030. A further €220 million will mature on Sept. 30, 2038. The €375 million portion consists of senior secured instruments, while the €220 million tranche is subordinated and unsecured.
Branicks said several technical closing conditions remain to be completed in the coming weeks. The company aims to put the restructuring concept into effect by the end of fiscal 2026, and no later than March 31, 2027.
Company Comment on the Creditor Vote
Josef Schultheis, Chief Restructuring Officer of Branicks Group AG, said in the announcement: "Das Votum unserer Gläubiger ist ein Vertrauensbeweis in unser Sanierungskonzept. Mit der gewonnen Zeit können wir uns jetzt wieder voll auf unser Geschäfts fokussieren und mit unserer Substanz und Expertise die Chancen in einem weiterhin herausfordernden Markt für uns nutzen." In English, Schultheis described the vote as an expression of confidence in the restructuring concept and said the additional time allows the company to refocus on its business.
Restructuring Background and Financing Framework
The creditor vote follows a broader restructuring agreement announced in July. That framework contemplated bridge financing of €35 million at Branicks and €60 million at VIB Vermögen AG, the company's listed subsidiary, before completion of the restructuring. It also described a long-term new-money facility maturing on Sept. 30, 2029, with a 10% cash interest rate.
The July framework contemplated reducing the existing notes to approximately €258.8 million of senior secured notes, while the Schuldschein and registered-note instruments would be amended into approximately €116.2 million of senior secured instruments. An August research note described the post-restructuring structure as roughly €375 million of senior secured principal instruments with a 7.5% coupon, plus approximately €205 million of subordinated principal instruments and a €15 million subordination fee, carrying a 15% coupon payable in cash or payment-in-kind. Those figures describe principal amounts and fees differently from the €375 million and €220 million maturity buckets in the company's announcement, and final legal documentation governs the terms.
Advisory Agreements With Supervisory Board Members Ended
Branicks also announced that it has mutually terminated advisory agreements with MDC Matthias Danne Consulting GmbH and BLACKLAKE Management Partners GmbH. The managing directors of those companies are supervisory board members Matthias Danne and Johannes Conradi, respectively.
According to the announcement, both consulting companies informed Branicks that they have entered into corresponding service agreements with a company financed by the creditors. The change moves advisory functions previously connected to the supervisory board members to a creditor-funded structure.
Company Profile and Market Backdrop
Branicks, formerly DIC Asset AG, is a listed German specialist in office and logistics real estate with more than 25 years of experience. It operates from nine locations across major German markets, including VIB Vermögen AG. As of June 30, 2026, the company managed assets with a market value of €10.1 billion across its Commercial Portfolio and Institutional Business segments. The Commercial Portfolio holds properties on the balance sheet, while the Institutional Business earns fees from structuring and managing investment products for institutional investors. The company's shares trade in the Prime Standard of the Deutsche Börse.
Branicks reported €10.4 billion of assets under management at March 31, 2026, down from €11.2 billion a year earlier.
The extension comes as German real estate borrowers face a difficult refinancing environment marked by elevated financing costs, weaker capital values and constrained transaction liquidity. In the logistics sector, CBRE reported that German big-box logistics vacancy fell 0.3 percentage points to 4.7% from the end of 2025, while average prime rents across the five leading markets rose 4.1% year over year to €9.21 per square meter.
Outlook
The extension removes the 2026 maturity of the €400 million bond as an immediate refinancing event for Branicks. The company will still need to service the restructured debt and carry out its operating and asset-management strategy, and completion of the remaining technical closing conditions is required before the plan takes effect.
