KKR Makes $1.5 Billion Equity Investment in Vertical Bridge Tower Platform

Global investment firm KKR has announced a $1.5 billion equity investment in Vertical Bridge REIT, LLC, the largest private owner and operator of wireless communications infrastructure in the United States, the companies said. The deal establishes what both parties described as a fully funded, long-term capital structure to support Vertical Bridge's strategic growth plan.

Vertical Bridge, headquartered in Delray Beach, Florida, operates a nationwide portfolio of more than 17,000 towers and provides build-to-suit and colocation solutions to the telecommunications industry. The company is structured as a real estate investment trust.

Details of the $1.5 Billion Equity Investment

KKR is funding the investment primarily through its core infrastructure strategy. The firm has deployed more than $40 billion in equity in digital infrastructure globally, a portfolio that includes Vantage Towers in Europe, Pinnacle Towers in the Philippines, and past investments in Telxius and Hivory Towers.

Vertical Bridge's existing sponsors, Digitalbridge (NYSE: DBRG) and La Caisse — formerly known as CDPQ — also participated in the equity investment and will remain long-term partners to the company, according to the announcement.

"This transaction provides us with the resources to continue developing our portfolio at scale while maintaining our disciplined, returns-focused approach to capital deployment," said Ron Bizick, President and CEO of Vertical Bridge. Strategic Rationale: 5G, Edge Compute, and Data Demand

KKR cited structural demand drivers — including 5G network densification, edge computing, and surging data consumption — as central to its investment thesis for the tower platform.

Existing Sponsors Reaffirm Commitment

DigitalBridge CEO Marc Ganzi expressed continued confidence in the platform. Emmanuel Jaclot, Executive Vice-President and Head of Infrastructure and Sustainability at La Caisse, noted the company's growth trajectory since the initial investment. "Vertical Bridge has experienced phenomenal growth these last few years both organically and through acquisitions, reaching a high level of scale and operating maturity," Jaclot said. Advisors and Transaction Structure

Centerview Partners LLC served as exclusive financial advisor to Vertical Bridge, and Simpson Thacher & Bartlett LLP served as the company's legal counsel. Barclays and Houlihan Lokey acted as financial advisors to KKR, with Kirkland & Ellis LLP serving as KKR's legal advisor.

Vertical Bridge also noted that it became the first tower company in the world to achieve CarbonNeutral company certified status in 2020 and has maintained that certification annually since.

The transaction positions Vertical Bridge to pursue both organic growth and selective acquisitions while continuing operations across its existing tower portfolio.
