S2 Capital Completes Loan Modifications and Refinancings on 26 Multifamily Assets Totaling $1.2 Billion
Dallas-based S2 Capital announced Oct. 13 that it has completed a series of loan modifications and refinancings across 26 multifamily assets representing approximately $1.2 billion of loan balance. The transactions cover 8,223 units across seven markets and were funded in connection with the initial closing of S2's continuation vehicle.
Of the 26 communities, 12 were subject to foreclosure proceedings that have been terminated in connection with the modifications. The firm said the transactions provide extended maturity dates and revised pricing, and resolve existing defaults and near-term maturities, allowing S2 to focus on maximizing operating performance across its portfolio.
S2 Capital Portfolio Restructuring: Key Terms
The agreements are a portfolio-level debt restructuring rather than a property sale. The $1.2 billion aggregate loan balance across 8,223 units works out to roughly $146,000 of debt per unit, an average that reflects the portfolio as a whole rather than any individual asset. The portfolio averages about 316 units per property.
S2 described the transactions as extending maturities, revising pricing, waiving existing defaults and resolving near-term maturities. In at least one case, the modification was completed in consideration of a principal paydown and payment of accrued amounts.
North Dallas 531-Unit Community Modified
S2 identified one asset by size and location: a 531-unit community in North Dallas. The modification of the loan secured by the property waives existing defaults, including a maturity default, and terminates a pending foreclosure posting. It also extends the stated maturity date to July 2031, subject to earlier repayment.
As part of the modification, the parties agreed to dismiss related litigation involving the guarantor.
Scott Everett on the Multifamily Cycle
"This took six months and a lot of work from our lenders and our team, and I'm grateful for both," said Scott Everett, CEO of S2 Capital. "In our view, the pressure on multifamily in this cycle has come mainly from a historically high level of new supply, not from weaker renter demand, and we are seeing new deliveries in our markets begin to decline. We believe these modifications give the assets a capital structure better suited to the timeline we anticipate for recovery. Our focus now is on execution: occupancy, resident experience, and disciplined operations."
Dallas-Fort Worth Market Backdrop
The restructuring comes as the Dallas-Fort Worth multifamily market works through a heavy wave of new supply. The market delivered a record 44,218 units in 2024, followed by 30,868 units in 2025. Deliveries in 2026 are projected at 23,091 units, a 48% reduction from the 2024 peak.
The construction pipeline has also contracted. About 43,300 units were under construction in the second quarter of 2026, down 43% from the 2023 peak. In the first quarter, net absorption of approximately 8,500 units outpaced about 7,500 deliveries.
Vacancy remains elevated. Stabilized vacancy stood at 10.1% in the first quarter of 2026 before improving to 9.6% in the second quarter. First-quarter effective rents averaged $1,508 per unit, down 2.8% from a year earlier, and $1.69 per square foot, down 2.9%. Early signs of stabilization have appeared, with Class A rents up 1.3% quarter over quarter in the second quarter and average multifamily cap rates of about 5.25%. Class B cap rates are at roughly 5.25% to 6.00%, compared with 3.75% to 4.25% at the market peak. Vacancies in many submarkets remain above 10-year averages, and operators continue to use concessions to support occupancy.
About S2 Capital
Founded in 2012, S2 Capital is a Dallas-based real estate investment manager specializing in residential and industrial assets across opportunistic, value-add, credit and core-plus strategies. The firm has transacted over $13 billion in total capitalization since its inception and operates a fully integrated platform encompassing acquisitions, development, capital formation, construction, asset management and property management.
Outlook
For lenders, modifying loans can preserve recovery value and avoid the cost and uncertainty of foreclosure, while giving borrowers time to benefit from declining deliveries and improving rent trends. For S2 Capital, the agreements replace immediate maturity and foreclosure risk with a longer operating runway, including through July 2031 on the North Dallas asset.
