TORONTO, Ontario — July 2, 2026Vital Infrastructure Property Trust (TSX: VITL.UN) has completed the sale of its European healthcare real estate portfolio to TPG Real Estate, the Toronto-based REIT announced Wednesday. The final tranche — comprising 23 wholly owned properties in Germany — closed June 30, 2026, bringing the full 33-property transaction to a close.

Transaction Structure and Timeline

The deal encompasses 30 income-producing properties and three development properties spread across Germany and the Netherlands. The Netherlands portion, consisting of 10 properties held through Vital Infrastructure's European joint venture, closed April 29, 2026. The completion of the German asset portfolio on June 30 marks the full conclusion of the transaction with TPG Real Estate.

The assets span outpatient, inpatient, and health research facilities. No sale price, cap rate, or individual property-level financial terms were disclosed in the announcement.

Employee Transition

As part of the transaction, the majority of Vital Infrastructure's regional European employees transitioned to TPG Real Estate, supporting continuity of operations.

"We are pleased to have completed this strategic transaction with TPG Real Estate," said Zach Vaughan, Chief Executive Officer of Vital Infrastructure. "The Transaction marks a significant step in Vital Infrastructure's ongoing portfolio optimization strategy by simplifying our geographic footprint and increasing our focus on North American growth opportunities. I would also like to thank our European employees for their dedication and contributions, which helped build a strong portfolio and position the Transaction for success."

Strategic Rationale

The European exit is part of a broader portfolio optimization effort at Vital Infrastructure. The REIT has framed the disposition as a means of simplifying its geographic footprint and increasing its focus on North American growth opportunities.

As of March 31, 2026, Vital Infrastructure held interests in 134 income-producing properties totaling 13.1 million square feet of gross leasable area across major markets in North America, Brazil, Europe, and Australia. The REIT operates through a global workforce across six countries.

Portfolio Context and Outlook

Vital Infrastructure's portfolio of healthcare properties is characterized by long-term indexed leases and stable occupancies, according to the REIT. Its tenant base consists of healthcare operators across outpatient, inpatient, and health research facility types. The REIT trades on the Toronto Stock Exchange under the ticker VITL.UN.

With the European transaction now fully closed, Vital Infrastructure said it will continue to pursue its portfolio optimization strategy, with an emphasis on North American growth. The REIT did not provide specific acquisition targets or financial guidance in connection with Wednesday's announcement.
