Warburg Pincus Launches Tender Offer for Japan's Leading Student Housing Platform J.S.B. Co.

TOKYO, June 12, 2026Warburg Pincus announced Thursday that it will launch a tender offer to acquire all common shares and stock options of J.S.B. Co., Ltd. (TSE: 3480), Japan's leading integrated student housing and services platform, at an offer price of JPY 9,000 per share and JPY 1,735,000 per stock option. The transaction marks the firm's first take-private investment in Japan.

Terms of the Transaction and Shareholder Support

JSB's Board of Directors has expressed support for the series of transactions, which includes the tender offer, and has recommended that shareholders and stock option holders tender their shares and stock options, according to the announcement.

Warburg Pincus has entered into tender agreements with JSB's two largest shareholders: the Oka Family, which holds a 39.20% stake, and HIKARI TSUSHIN Group, which holds a 19.27% stake. Both parties have agreed to tender their shares in support of the transaction. Together, they represent more than 58% of the company's outstanding shares.

Following the transaction, the Oka Family is expected to remain a long-term shareholder through a planned re-investment, reflecting what the firm described as a shared commitment to the company's long-term growth strategy.

The tender offer is expected to commence on June 15, 2026, and to continue until July 27, 2026.

The transaction follows Warburg Pincus's opening of its Tokyo office in 2025 and represents the firm's first take-private deal in Japan.
