EQT AB to Acquire Real Estate Manager Stockbridge for $375 Million
EQT AB announced Oct. 15 that it has signed an agreement to acquire Stockbridge, a San Francisco-based U.S. real estate investment manager with approximately $16.5 billion in fee-generating assets under management. The base consideration is $375 million on a cash- and debt-free basis, funded in cash from EQT's balance sheet. The transaction is expected to close in the first quarter of 2027.
The deal is an acquisition of a management company rather than a property portfolio. EQT will acquire 100% of the Stockbridge management company and the general partner entities that control interests in the Stockbridge funds.
EQT AB Deal Terms and Earnout Structure
Further consideration of up to $175 million may be payable over 2027 to 2030, which would bring potential total consideration to $550 million. The earnout payments depend on performance targets tied to raising fee-paying commitments in new products and contributing to EQT's overall fee-paying assets under management. If those targets are not met, the full contingent amount would not be paid.
EQT will also be entitled to invest in 35% of the carried interest in all future Stockbridge funds, in line with existing EQT policies. Stockbridge's senior management have committed to reinvest half of their cash consideration into EQT AB ordinary shares, purchased in the market following closing. Those shares will be subject to customary lock-up arrangements, with parts of the lock-up expiring in each of 2029, 2030 and 2031. Obligations to reinvest a portion of any earnout payments into EQT AB shares carry similar lock-up provisions.
The $375 million upfront payment equates to roughly 2.3% of Stockbridge's fee-generating assets under management, or about 3.3% including the maximum earnout. Those are simple transaction-value-to-AUM measures, not earnings multiples or enterprise-value calculations.
Stockbridge Platform and Financial Contribution
Founded in 2003, Stockbridge has approximately 185 professionals across six U.S. offices and about 180 institutional clients. Its offices are in San Francisco, Atlanta, Chicago, Dallas, Denver and Phoenix. The firm describes itself as principal-led and client-centric, with specialist depth in industrial outdoor storage, alternative living including manufactured housing, and established open-ended core products. In its own boilerplate, Stockbridge reports approximately $17 billion in total assets under management and $27.4 billion in gross asset value as of June 30, 2026.
Stockbridge is expected to contribute approximately $35 million to $45 million of fee-related EBITDA in 2027, a margin of approximately 30% to 35%, with fee-related EBITDA expected to grow 15% to 20% annually in the coming years. At the midpoint of that range, roughly $40 million, the $375 million upfront payment implies about 9.4 times expected 2027 fee-related EBITDA, before integration benefits, growth or earnouts.
Stockbridge's weighting toward core and asset-value-based strategies carries lower headline fee rates. Growth from the platform will therefore come at a lower blended fee rate and margin than EQT Real Estate generates today, with the gap expected to narrow over time as fund-based strategies scale.
Strategic Rationale for EQT Real Estate
EQT said the transaction advances EQT Real Estate's evolution toward a more thematically diversified global platform. EQT Real Estate has more than doubled in size since 2021, according to the firm, and Stockbridge adds three areas it described as complementary:
- Open-ended core: Stockbridge's open-ended core product ranks in the top 5% of its peer group over the one-, three- and five-year periods, based on the NCREIF ODCE Index as of the first quarter of 2026. It will become a flagship diversified core strategy within EQT Real Estate, which aims to scale the fund with existing and new clients through its global client platform, especially in Europe and Asia.
- Industrial and industrial outdoor storage: Stockbridge's industrial capabilities will be combined with EQT Real Estate's existing industrial platform, adding exposure to sub-sectors such as industrial outdoor storage.
- Alternative living: Stockbridge brings experience in U.S. residential real estate and in specialized sectors, particularly manufactured housing. The combination is intended as a foundation for a broader alternative living franchise that could extend over time to senior and student housing.
The deal also reflects institutional investors' interest in platforms that combine sector diversification and specialist operating capabilities, a trend EQT cited in announcing the transaction. The earnout structure ties a meaningful portion of the potential price to Stockbridge and EQT raising new fee-paying capital, indicating that fundraising capacity is central to the deal economics.
Leadership and Governance After Closing
Stockbridge's diversified strategies and alternative sectors will operate as a dedicated business line within EQT Real Estate. Its industrial capabilities will be brought together with EQT Real Estate's industrial platform. Existing leadership, investment teams and decision-making processes will largely remain in place, and integration will be led by the firms' operational and business development teams.
Terry Fancher, CEO of Stockbridge, will become Vice Chair of EQT Real Estate, reporting to Henry Steinberg, Global Head of EQT Real Estate. Stockbridge CFO Kristin Renaudin will become Global CFO of EQT Real Estate, and Tuba Malinowski, currently Executive Managing Director at Stockbridge, will become Head of U.S. Diversified Real Estate. Stockbridge will transition to the EQT Real Estate brand at closing, while existing funds will retain their current naming conventions.
Per Franzén, CEO and Managing Partner of EQT, said: "Our Real Estate platform is an important part of EQT's offering to our clients, and this combination represents a significant next step in the development of the business. Stockbridge has built an impressive track record over more than two decades and is an excellent fit with EQT Real Estate."
Steinberg said the transaction "will enable us to deliver the attractive risk-adjusted returns our clients have come to expect from EQT Real Estate across a broader range of sectors," adding that EQT would bring its international platform, market intelligence and proprietary data and AI capabilities to Stockbridge's sourcing, underwriting and asset management.
Fancher said: "Joining EQT Real Estate enables us to continue delivering differentiated strategies to the market through the same teams and investment philosophy that have built our track record, while benefiting from EQT's global reach and operating platform."
Market Implications
EQT, with EUR 341 billion in total assets under management as of June 30, 2026, operates across four business segments: Private Capital, Infrastructure, Real Estate and Secondaries. The Stockbridge acquisition gives its real estate arm scale in the U.S. and a wider product range without building each strategy from scratch. The purchase is relatively modest against EQT's overall asset base, but the disclosed fee-related EBITDA guidance gives a clearer picture of its near-term earnings contribution than the AUM figure alone.
The transaction closing remains subject to customary conditions, including investor consents.
