National Health Investors Acquires Six Senior Housing Properties for $107.7 Million, Adding 443 Units to SHOP Segment

•3 min read

National Health Investors, Inc. (NYSE: NHI) announced Oct. 1 that it invested $107.7 million, including transaction costs, to acquire six senior housing properties with 443 units in Kentucky, Michigan and Tennessee. The properties will be managed by Allegro Living Management, an affiliate of Allegro Living, an existing relationship for NHI.

The firm expects to make an additional investment of $2.3 million during the first year. The communities are expected to generate an initial net operating income (NOI) yield of approximately 7.0%, or 6.6% after routine capital expenditures.

Deal Details and Operator

The six properties and their healthcare operations will be included in NHI's Senior Housing Operating Portfolio (SHOP) segment. The $107.7 million investment equates to roughly $243,100 per unit across the 443 units. The $2.3 million of expected first-year investment equals about $5,200 per unit.

Allegro Living Management will manage the communities. NHI described Allegro Living as an existing relationship for the company.

NHI's Expanding SHOP Segment

The acquisition continues NHI's shift toward operating senior housing. The company's SHOP investment reached approximately $850 million in the second quarter of 2026, up 137% from the prior-year period and representing about 24% of NHI's total investment base. SHOP NOI rose 188.5% year over year in the second quarter, driven by the transition and acquisition of 27 properties, with total SHOP NOI of approximately $11 million for the quarter. Management has described a three-year objective of increasing SHOP to approximately 40% to 50% of total NOI.

Operating performance in the segment has been mixed. Same-store SHOP occupancy fell to 85.1% in the second quarter from 89.1% in the fourth quarter of 2025, although revenue per occupied unit rose to $3,187 from $3,071 a year earlier.

Investment Pipeline and Section 1031 Exchange

NHI said it has approximately $164.3 million of investment opportunities under signed letters of intent and approximately $51.7 million pursuant to real estate purchase options. The company expects to use proceeds from the Section 1031 exchange transaction initiated by the NHC portfolio sale for a significant portion of those opportunities. If completed, the exchanges are expected to defer recognition of a substantial portion of the taxable gain arising from the NHC portfolio sale.

NHI is also evaluating a pipeline of approximately $285 million in investments, including SHOP acquisitions, sale-leasebacks and loans with purchase options, primarily for senior housing properties. The pipeline excludes portfolio deals.

Senior Housing Market Backdrop

National senior housing occupancy reached 90.1% in the second quarter of 2026, compared with 88.4% a year earlier. Rolling four-quarter construction starts totaled roughly 5,100 units, about one-third of the long-term average of 15,600 units.

Occupancy stood at 89.9% in primary markets and 90.0% in secondary markets at the end of 2025, alongside 19 consecutive quarters of positive absorption. Average senior housing capitalization rates declined to 6.2% in the fourth quarter of 2025, and 85% of surveyed investors expected further cap rate compression over the following year.

New construction starts were down 77% from recent peaks in primary markets and 62% in secondary markets. Senior housing rents had risen 28.8% from pre-pandemic levels to an average of $5,479 per month. Development costs have increased 23.6% since 2023, and the timeline from entitlements to opening has lengthened to 29 months from 19 months in 2019.

Outlook

The transaction is part of NHI's broader effort to scale its SHOP segment and redeploy disposition proceeds into senior housing assets. Key metrics to watch include whether the newly acquired communities achieve the projected 7.0% initial NOI yield and how occupancy trends across NHI's broader SHOP portfolio.

NHI, established in 1991 as a Maryland corporation, is a self-managed real estate investment trust that owns, leases, operates and finances the development of senior housing communities and medical facilities. It operates through two reportable segments: Real Estate Investments and SHOP.
