Northwind Group Closes Northwind Debt Fund III at $1 Billion, Doubling Its Target
New York-based Northwind Group announced Oct. 21 the final close of Northwind Debt Fund III (NDF III) with $1 billion in committed capital, doubling the fund's $500 million target and making it the largest fund in the firm's history. Ran Eliasaf, founder and managing partner of Northwind Group, and Michael Ainbinder, partner and head of commercial real estate credit, commented on the close.
Northwind Debt Fund III: Fund Structure and Investor Base
NDF III is Northwind's third real estate debt fund and fifth credit fund overall. It continues the real estate credit strategy that the firm launched in 2017. The fund primarily originates senior-secured, floating-rate bridge loans across major U.S. gateway markets, with a focus on acquisition, bridge, condo inventory, construction, office-to-residential conversions, pre-development and lease-up financing.
The fund's investor base includes pension funds, insurance companies, banks, family offices and ultra-high-net-worth individuals, both domestic and international. Northwind said many longstanding investors returned with increased commitments and that the fund added a significant number of new institutional investors. The firm said NDF III is structured to generate consistent current income and to prioritize capital preservation, with loans backed by real estate and sponsors in supply-constrained markets.
Eliasaf said the firm completed the raise entirely in-house, without a third-party placement agent. "The final close of NDF III is a defining milestone for Northwind and a strong endorsement of our growing credit platform," Eliasaf said. "We believe the current environment presents one of the most attractive lending opportunities we have seen, and NDF III positions us to capitalize on it on a greater scale than ever before."
Deployment and Notable Loans
Since its first close in January 2025, NDF III has originated $1.5 billion in loans across markets including New York City, South Florida, Los Angeles and Chicago. Northwind expects the fund to reach 90% deployment by the end of 2026, with typical loan sizes of roughly $100 million to $200 million. Across all Northwind vehicles, the firm reports more than $11 billion in transaction volume.
Four investments highlighted by Northwind total $887 million, or about 59% of the fund's reported originations:
- The Ritz-Carlton Residences, Palm Beach Gardens, Florida: a $401 million senior completion-to-condo-inventory loan. The project, at 2200 PGA Boulevard, spans 14 acres on the Intracoastal Waterway with 1,040 feet of frontage, three seven-story buildings, 106 condominium residences and a 29-slip private marina. The loan refinances a prior $340 million construction loan from Madison Realty Capital, with a portion held back through completion. The project is 35% presold.
- 141 Willoughby Street, Downtown Brooklyn: a $208 million first-mortgage construction loan for the office-to-residential conversion of a 355,000-square-foot Class A tower.
- Bunker Hill, Los Angeles: a $180 million acquisition loan, including a future good-news funding facility, secured by a 55-story Class A office tower with 1,700 parking spaces.
- South Beach, Miami Beach, Florida: a $98 million senior loan for the acquisition and pre-development of an existing condominium building, which will ultimately be demolished and redeveloped into a 100-unit luxury residential condominium building.
The Ritz-Carlton loan is a completion-to-inventory facility, meaning the project is moving from construction risk toward sellout risk as units are finished and sold.
Private Credit and the Bank Pullback
Northwind said investor demand reflects a growing appetite for durable, asset-backed credit strategies with downside protection. The firm noted that banks continue to pull back from transitional, construction and bridge lending amid heightened regulatory capital requirements and balance sheet constraints, and that borrowers are increasingly turning to private lenders for reliable capital and certainty of execution. Northwind said it views the shift as structural rather than cyclical and expects demand for its lending solutions to remain strong for years.
Ainbinder pointed to demand for flexible bridge capital in New York City and other supply-constrained markets. "Demand for flexible, reliable bridge capital remains strong in New York City and other supply-constrained markets across the U.S., as sponsors navigate a shifting interest rate environment and a wave of upcoming loan maturities," Ainbinder said. "The market dislocation we've seen over the past several years has fundamentally changed the role private lenders play in commercial real estate finance. With NDF III, we have greater capacity to step into that gap, support high-quality sponsors and capitalize on opportunities where complexity and speed matter."
